Terms of Service

Welcome to Agent Publish ("Agent Publish," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be legally capable of entering into a binding agreement to use the Service. If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that entity to these Terms.

2. The Service

Agent Publish allows users to create, manage, publish, and share landing pages and related digital content, including pages generated from AI output, lead capture pages, downloadable asset pages, and buy-now pages.

We may add, remove, modify, suspend, or discontinue features of the Service at any time.

3. Accounts

To use certain features, you may be required to create an account and sign in using a supported authentication provider.

You are responsible for:

  • maintaining the security of your account;
  • all activities that occur under your account; and
  • providing accurate and up-to-date account information.

You must notify us promptly if you believe your account has been accessed without authorization.

4. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • publish unlawful, fraudulent, defamatory, misleading, infringing, abusive, or harmful content;
  • collect, store, or process personal information unlawfully;
  • send unauthorized marketing communications or spam;
  • distribute malware, malicious code, or harmful content;
  • interfere with or disrupt the Service;
  • attempt unauthorized access to accounts, systems, or data; or
  • use the Service in a way that could damage our platform, reputation, or other users.

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms or used the Service in an abusive, unlawful, or harmful way.

5. User Content

You retain ownership of the content you submit, upload, create, or publish through the Service ("User Content").

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit your User Content solely as needed to operate, improve, secure, and provide the Service.

You represent and warrant that:

  • you own or have the rights necessary to use and publish your User Content;
  • your User Content does not violate any law or third-party rights; and
  • your User Content is accurate to the extent required by law.

6. Published Pages and Public Content

Pages you choose to publish may be publicly accessible on the internet. You are solely responsible for ensuring that published content, offers, downloads, claims, disclosures, and communications are lawful and appropriate for your audience.

If you collect personal information from visitors, you are responsible for ensuring that your data collection and communications comply with applicable privacy, anti-spam, consumer protection, advertising, and other laws.

7. Leads and Communications

If you use the Service to collect leads, email addresses, or other contact information, you are responsible for how you use that information.

You must not use lead information in violation of applicable laws, including laws relating to privacy, consent, and electronic marketing communications.

8. Plans, Limits, and Paid Features

We may offer free and paid plans, usage limits, or feature-based access.

Unless otherwise stated, all pricing, features, usage limits, and plan details may be changed at any time. If we introduce paid plans or subscriptions, additional billing terms may apply.

9. Intellectual Property

The Service, including our software, branding, design, interfaces, and related materials, is owned by Agent Publish or its licensors and is protected by intellectual property laws.

Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.

10. Third-Party Services

The Service may integrate with or link to third-party services, including authentication providers, hosting providers, analytics providers, payment providers, and third-party websites.

We do not control and are not responsible for third-party services, their content, or their practices.

11. Availability and Changes

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

We may update, modify, suspend, or discontinue any part of the Service at any time, with or without notice.

12. Disclaimer

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will meet your requirements or that published content will achieve any particular performance, traffic, lead, or sales result.

13. Limitation of Liability

To the fullest extent permitted by law, Agent Publish and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, business, goodwill, data, or opportunity arising out of or related to the Service or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

  • the amount you paid us in the 12 months before the event giving rise to the claim; or
  • CAD $100.

14. Indemnity

You agree to defend, indemnify, and hold harmless Agent Publish and its affiliates, officers, directors, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms; or
  • your violation of any law or third-party right.

15. Suspension and Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, created risk for us or others, or used the Service unlawfully or abusively.

You may stop using the Service at any time.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnity, and governing law provisions.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

Unless otherwise required by applicable law, you agree that disputes arising out of or relating to these Terms or the Service will be brought before the courts located in Ontario, Canada.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by updating the date above, posting notice in the Service, or using other reasonable means.

Your continued use of the Service after updated Terms take effect means you accept the updated Terms.
